Reasons to Change Your Registered Agent

It’s a good idea to change your registered agent and update the public record if your RA is:

Too expensive.

Many national companies charge hundreds of dollars for their registered agent service. Not only that, their price often goes up after the first year and you might only find out when you see the hefty bill.

Our Registered Agent service is just $49/year, every year. No sudden price hikes from us!

Slow or negligent.

Your RA is responsible for delivering important state and legal notices to you, like lawsuits and tax documents. If you end up missing documents or receiving them too late, you could be in a lot of trouble (and/or debt).

We upload your service of process to your online account the same day we receive it.

Unreliable.

Some RA services use rented office space for their registered agent address. It can end up being pretty inconvenient if—whether due to evictions or price hikes—they change their address often.

We own our building, so our NJ address (your address) is solid and reliable.

Inadequate.

Not all registered agents are created equal. Some will sign your documents, take your money, then charge you a document-unlock fee to see your service of process. You should expect your RA to do more.

Our service is not only fast and affordable, it comes with a free business address and mail forwarding.

M.I.A.

A registered agent has the option to resign. Unfortunately, sometimes business owners only discover that they no longer have an RA when they get a revocation notice from the state.

We won’t leave you stranded. You’ll receive email updates and notifications from our team any time we receive a document on your behalf.

Yourself.

Some people choose to serve as their own registered agent, which is legal in New Jersey (NJ Rev Stat § 14A:4-1). However, it’s generally a mistake. Being your own RA usually makes your address part of the public record.

When we’re your registered agent, we’ll put our address on the public record instead of yours.

What happens if I don’t have a registered agent in New Jersey?

Failure to list a registered agent for your company could result in your company losing good standing, or being revoked in New Jersey. Whatever the case, it means you LLC or corporation won’t legally be allowed to do business here.

To get back in good standing, you’ll need to reinstate your business and pay the associated $75 fee, plus any outstanding fees you may have accrued while your business was technically inactive.

How do I reinstate my New Jersey company?

In most cases, New Jersey companies can be reinstated online. However, if your company was revoked for not paying taxes, you’ll have to obtain a Business Tax Clearance Certificate before being reinstated.

3 Ways to Change Your New Jersey Registered Agent

It’s important to update your company’s registration with the state if any of your public information changes. This includes your registered agent information. Here’s how you can make that update:

1. Annual Report Filing

You can easily change your registered agent when filing your annual report. This report must be filed by the end of the month in which you initially formed your company. It costs $75 to file this report each year, plus an additional $25 if you’re also changing your RA.

Here’s what you can update about your business on your annual report:

  • Registered agent name
  • Registered agent address
  • Business address
  • Names/addresses for Officers/Members

2. File a Certificate of Change

If it’s too early or late to file your annual report, you can change your registered agent by filing a Certificate of Change – Registered Name or Address, or Both. This form comes with a fee of $25, and can be filed online, by mail, or in person:

Online: DORES

By Mail or In Person:
NJ Division of Revenue
PO Box 308
Trenton, NJ 08646
