What to Know About the

How to File an Annual Report in New Jersey
Submitting an annual report to the NJ Division of Revenue is straight forward, but easy to forget since the report is only filed once a year. Here’s what you need to know:
- Deadline: Annual reports in New Jersey are due by the end of the month in which you initially formed your company.
- Fee: $75 (corporation, LLC, LP, LLP), $30 (nonprofit)
- Where to file: Online – NJ Division of Revenue and Enterprise Services (DORES)
- Information to file:
- Registered agent name and address
- Business address
- Officers / Members
- Workers Compensation (click “no” if your company isn’t obligated to carry this insurance)
If you neglect to file your annual report for two or more years, your business could be revoked. This means you’ll lose “good standing” status and thus the right to do business in New Jersey. To regain good standing, you’ll have to reinstate your business and pay for all your missed annual reports, as well as your current annual report.
What if I need to change my company information?
You can update your New Jersey registered agent information when filing you annual report for an additional $25 fee. You can also change your business address or officer/member information on your annual report for no extra fees.
Can I update my company’s name in my annual report?
To change the name of your company in New Jersey, you’ll have to file an Online Business Amendment as well as an Employer Account Registration Service Change. Filing an amendment changes your company’s name in the public record, and a registration service change updates your name for your confidential tax/employer records, which amends your business certificate.
- To File an Amendment: NJ Business Charter Amendment Service
- To Change Employer Account Registration: NJ On-Line Registration Change Service

FAQ: New Jersey Annual Report
What’s the purpose of an annual report?
Having companies file an annual report is a way for state offices to keep up-to-date records of all the businesses that are registered in New Jersey. Most states require an annual report (or something like it) and some sort of ongoing fee, which is sort of like the cost of doing business in the state.
How do I get a copy of my NJ Annual Report?
You can get a copy of your annual report by submitting a request to DORES via fax, regular mail, or in person. (Unfortunately, you can’t request a copy of your annual report online.) Your request should include:
- Business name
- Year of the requested report
- Corporate identification number
Here’s how to reach DORES:
